As time goes by, our company grows and generates profits and income. In this case, it may
become necessary to change the legal form of the company, if justified. The main reasons for this
are to make the liability of the members or the managing director more favorable or taxation
matters. Transformation can involve a change from a limited partnership (“Betéti Társaság”), a
general partnership (“Közkereseti Társaság”) to a limited liability company (“Korlátolt
Felelősségű Társaság”), a limited liability partnership to a private company limited by shares
(“Zártkörűen Működő Részvénytársaság”).

Mergers and divisions are similar procedures. In the case of a merger, two separate companies
continue their activities as one entity for the right business and economic reasons and interests.
